Answer Service ( NZ) Ltd acknowledges that it will receive Confidential Information in relation to its Client.
“Confidential Information” means any information relating to the business or financial affairs Answer Services Client. Without limiting the generality of the foregoing, “Confidential Information” also includes any trade secrets, specialised knowledge or know-how or practices, business processes, computer systems and software, personal information (as defined in the Privacy Act 1993 (the “Act”)), system requirements, or performance reports.
Answer Service (NZ) Ltd agrees and acknowledges that all Confidential Information relating to its client which is not publicly available and which comes to Answer Services is strictly confidential and belongs to the Client. Answer Services further acknowledges that Confidential Information will be disclosed to it by the Client for the sole purpose of performing Call Centre Services and that Answer Services has no right to use or disclose such Confidential Information for any other purpose.
All the obligations on Answer Services recorded in this confidentiality undertaking shall continue to bind Answer Services unless and until the Confidential Information shall become publicly available otherwise than through any act or default on Answer Services part or where the Answer Services is required by law to disclose the Confidential Information.
